1. Agreement
These Terms of Service (“Terms”) govern your access to and use of the website at https://www.connexzia.com (the “Site”), our public loadboard, and related logistics coordination services (collectively, the “Services”) provided by Connexzia (“we,” “us,” “our”). By using the Services, you agree to be bound by these Terms and our Privacy Policy.
2. Services & Scope
- Coordination. We assist with matching loads and capacity, dispatch communications, documentation workflows, and shipment visibility.
- No motor carriage. We do not transport freight and are not a motor carrier.
- No brokerage. Unless specifically stated in a separate written agreement, we do not act as a property broker. Carriers contract directly with shippers/brokers.
- Loadboard. The public board lists loads posted by shippers, brokers, or our team; availability and accuracy may vary.
3. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for safeguarding your account credentials and all activity under your account.
4. For Shippers & Brokers
- You warrant you have the right to tender freight and that shipment details (weight, class, NMFC/commodities, accessorials, timing) are accurate.
- You are responsible for selection of carrier, payment terms, and any required broker-of-record documentation.
- Detention, layover, TONU and accessorials are subject to prior written agreement between you and the carrier.
5. For Carriers
- You represent you hold active USDOT/MC authority, required insurance, and compliance programs, and will operate in accordance with all laws and safety rules.
- You are solely responsible for drivers, equipment, cargo custody, routing, securement, and HOS compliance.
- Payment terms are between you and the tendering party (shipper/broker). If factoring, you warrant the right to assign receivables.
6. Rates, Billing & Payment
Rates, accessorials, fuel, and fees are as agreed in writing for each shipment. You authorize us to transmit documents and communications between parties. Where we invoice coordination fees, payment is due as stated on the invoice. Late balances may accrue finance charges where permitted by law.
7. Insurance & Cargo
Carriers must maintain insurance required by law and any higher limits specified by the tendering party. Claims are handled between shipper/broker and the carrier (or its insurer). We do not insure cargo.
8. Liability & Limits
To the maximum extent permitted by law, we are not liable for: (a) the acts or omissions of shippers, brokers, carriers, or drivers; (b) delays, missed appointments, or service failures; or (c) lost profits, consequential, incidental, exemplary, or special damages.
9. Prohibited Freight
No shipments that are illegal, hazardous without proper declarations/placards, high-value requiring special security, temperature-controlled perishables without appropriate equipment, or any commodity restricted by law or agreement.
10. Compliance & Safety
All parties agree to comply with applicable federal, state, and local laws and industry standards (including FMCSA, DOT, TSA, OSHA, and applicable customs/security rules).
11. Data & Privacy
We collect and use information as described in our Privacy Policy. You warrant you have authority to share shipment and contact information for coordination.
12. Communications & E-Sign
You consent to receive operational emails and SMS related to quotes, loads, and tracking. Electronic signatures and records are valid under applicable e-sign laws.
13. Intellectual Property
The Site, design, logos, and content are our property or that of our licensors. You may not copy, modify, scrape, or reverse engineer the Site except as allowed by law.
14. Disclaimers
The Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
Our aggregate liability arising out of or related to the Services shall not exceed the greater of (i) the fees you paid to us for the Service giving rise to the claim in the 3 months before the event or (ii) $500.
16. Indemnification
You will defend, indemnify, and hold us harmless from claims arising out of your use of the Services, your shipments, breach of these Terms, or violation of law.
17. Suspension & Termination
We may suspend or terminate access for conduct that, in our reasonable judgment, violates these Terms, harms other users, or risks liability.
18. Governing Law & Disputes
These Terms are governed by the laws of the State of New York, without regard to conflicts principles. Venue and exclusive jurisdiction lie in state or federal courts located in New York County, New York.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date.
